Course Description: This course presents an overview of company mergers and acquisitions as well as the pricing method. Focus is on the decision-making process, company management, shareholders, creditors, financial advisors, and the design of appropriate restructuring strategy, under certain tax and regulatory environments, to achieve maximum shareholder value. Topics include recombinant techniques, which involve take overs; the legal environment; tax planning; reasonable construction industry; mergers and acquisitions evaluation and implementation arrangements after takeovers and restructuring of ownership; financing; and other strategic transactions. Content also includes leveraged buy-outs; hostile takeovers; divestitures; disposal; and case bankruptcy reorganization. Text: Donald M.
